1. ELIGIBILITY FOR SIMPLEAI OFFER

1.1. Eligible Customers

The SimpleAI Offer is available to eligible customers subscribed to Xero’s business edition plans (Starter, Standard and Premium) in the relevant Territory. This SimpleAI Offer is only available to eligible customers with an active Xero subscription. If you have commenced this SimpleAI Offer while on a Xero 30-day free trial you will need to move to an active paid subscription at the end of your Xero trial in order to continue with this SimpleAI Offer.

1.2. Territory

The SimpleAI Offer is available to customers located in Indonesia, Thailand, Vietnam, Phillipines, Malaysia and Hong Kong.

1.3. Promotional Period

The SimpleAI Offer will be available to be redeemed by any customer from 1 December 2025 until 30 April 2026 (“Promotional Period”).

2. PRICING

2.1. SimpleAI Offer Pricing (For subscriptions during the Promotional Period)

Customers who successfully redeem the SimpleAI Offer during the Promotional Period shall be charged at the following pricing (“Promotional Pricing”):

2.2. Standard Pricing (For subscriptions after the Promotional Period)

Customers who subscribe SimpleAI services for the first time after the Promotional Period shall be subject to the following standard pricing:

Such customers shall not be eligible for the SimpleAI Offer under any circumstances.

3. PROMOTIONAL PRICING PERIOD AND CONTINUOUS ACTIVE SUBSCRIPTION

3.1. Promotional Pricing Period

The Promotional Pricing Period is the period from the date a customer’s subscription commences (during the Promotional Period) until 31 December 2026, during which Promotional Pricing applies to customers who maintain ‘Continuous Active Subscriptions’.

3.2. Continuous Active Subscription Requirements

Subject to clause 5, the SimpleAI Offer shall apply from the date of subscription until 31 December 2026, provided that the subscription remains active, uninterrupted and not cancelled, suspended or downgraded.

3.3. Post-31 December 2026

Following 31 December 2026, customers with Continuous Active Subscription shall retain their SimpleAI Offer rates, subject to SimpleAI’s discretionary annual pricing adjustments. SimpleAI may, at its sole discretion, apply:

1. Inflationary adjustments based on prevailing economic conditions; or
2. Standard pricing increases applied uniformly across SimpleAI’s subscription base; or
3. Such other adjustments as SimpleAI deems appropriate.

4. BILLING CYCLE

4.1.
The subscription period refers to the billing cycle selected by the customer (monthly or annual, as applicable).

5. CANCELLATION AND FORFEITURE OF SIMPLEAI OFFER

5.1. Forfeiture Upon Cancellation

In the event the customer terminates their subscription at any time, whether during or after the Promotional Period, the subscription shall terminate in accordance with SimpleAI’s cancellation policy and any remaining entitlement to the SimpleAI Offer shall be immediately and permanently forfeited.

5.2. Re-Subscription Following Cancellation[MM1.1]

1. 5.2.1. General Rule
   Customers who terminate their subscription at any time, whether during or after the Promotional Period, and subsequently choose to re-subscribe shall be treated as new customers and shall be subject to the pricing applicable at the time of re-subscription.

2. 5.2.2. Re-Subscription During Promotional Period
   If re-subscription occurs during the Promotional Period, the customer will be eligible for the SimpleAI Offer.

3. 5.2.3. Re-Subscription After Promotional Period
   If re-subscription occurs after the Promotional Period, the customer shall be charged pursuant to standard pricing or the then-current pricing as determined by SimpleAI at the time of subscription.

4. 5.2.4. No Carryover of Prior Eligibility
   Any prior eligibility for, or entitlement to the SimpleAI Offer shall be forfeited upon cancellation, suspension, downgrade and shall not carry over, transfer, or be reinstated following re-subscription.

6. APPLICATION OF SIMPLEAI OFFER

6.1.

The SimpleAI Offer will be applied by the Eligible Customer through a dedicated URL landing page provided by the Partner.

7. STANDARD TERMS AND CONDITIONS

7.1.

Except as expressly provided in the SimpleAI Offer, all other terms and conditions shall be governed by SimpleAI’s standard Terms and Conditions of Service as published and amended from time to time.

8. TERMINATION OF THE SIMPLEAI OFFER

8.1.

Either party may terminate this SimpleAI Offer during the Promotional Period for convenience by providing 30 days’ prior written notice to the other party.

8.2.

Existing discounted/subsidised Partner subscriptions on termination will continue to be honoured for their current subscription term (ie. Existing customers will continue to receive SimpleAI Offer in accordance with the terms above).
